We are looking for a senior Corporate and Commercial Legal Counsel to join our legal team. As Corporate and Commercial Legal Counsel, you will be responsible for advising on a wide range of legal matters, including corporate governance, commercial contracts, regulatory compliance, and intellectual property management. You will also play a key role in developing and implementing legal strategies that align with the corporation’s goals and values.
The ideal candidate will have a strong background in corporate and commercial law, excellent analytical and communication skills, and the ability to work independently in a fast-paced environment. You should be proactive, detail-oriented, and capable of managing multiple priorities while maintaining the highest standards of legal and ethical integrity.
Reporting directly to the General Counsel and Corporate Secretary, you will have the opportunity to:
Support the General Counsel and Corporate Secretary with critical legal matters and projects.
Contribute to strategic decision-making processes.
Ensure compliance with regulatory requirements.
Provide legal and tactical advice to business units.
Key responsibilities
Support the corporation's activities in commercial and corporate law:
Prepare, review legal documents such as contracts, agreements, policies, and procedures.
Provide legal advice as needed, on daily business operations.
Advise on corporate law matters, including corporate governance and compliance issues.
Assist the Corporate Secretariat in its functions:
Prepare and submit draft documents and declarations required by corporate laws.
Maintain the corporate records of the company and its international subsidiaries.
Assist in preparing board of directors and committee meetings and documentation.
Support the protection of the corporation’s intellectual property portfolio:
Support leaders who manage the corporation’s international intellectual property portfolio, including patents, trademarks, and trade secrets.
Advise on intellectual property infringement and litigation matters.
General legal support:
Work closely with internal business teams to understand their legal needs and provide sound legal advice.
Identify potential legal risks and mitigation strategies.
Conduct legal monitoring to stay updated on changes in laws and regulations that affect the corporation’s activities across the globe.
Participate in training internal business teams on relevant legal matters as required.
Qualifications and skills
Law degree from a recognized university.
Member in good standing of the Quebec Bar or the bar of another Canadian province.
Between 5 and 7 years of relevant experience in corporate and commercial, preferably in law firm and/or in-house legal department.
Ability to work independently and as part of a team and adapt in a constantly changing environment.
Strong analytical, negotiation, problem-solving and communication skills.
Ability to work under pressure and manage competing files within established deadlines.
Experience working in a multinational and multicultural environment is an asset.
Bilingualism is essential (French/English).
